Terms of Service
Effective Date: July 18, 2026
These Terms of Service (“Terms”) govern your access to and use of the Signal8 platform operated by Signal8 Inc., a Wyoming corporation (“Signal8,” “we,” “us,” or “our”). By creating an account or accessing any part of the Service, you agree to be legally bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By registering for an account, requesting a one-time sign-in code, clicking “I Agree,” or otherwise accessing or using Signal8 (the “Service”), you represent that: (a) you are at least 18 years of age; (b) you have the legal capacity to enter into a binding contract; (c) if you are using the Service on behalf of a company or other legal entity, you have the authority to bind that entity to these Terms; and (d) you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Disclaimer & Compensation Disclosure, each incorporated herein by reference.
We may update these Terms at any time. We will post the revised Terms on our website and update the Effective Date, and your continued use of the Service after the revised Terms are posted constitutes your acceptance of the changes. We generally will not send individual notice of routine updates. Where a material change would adversely affect your rights, we will provide additional notice, and obtain your consent where required by applicable law, before it takes effect. If you do not agree to the revised Terms, you must stop using the Service.
2. Description of Service
Signal8 is a financial-information and market-intelligence platform for retail investors and the general public. The Service aggregates, organizes, summarizes, and presents publicly available information, including filings from the U.S. Securities and Exchange Commission (“SEC”) EDGAR system, together with market, reference, and other data licensed or obtained from third-party providers, and delivers it through an interactive web dashboard, data feeds, a developer REST API, and a hosted Model Context Protocol (“MCP”) server.
The features available through the Service may include, and may change from time to time without notice: company research pages (price charts, financial metrics, and related indicators); an AI-assisted news feed and press-release feed; AI-generated, plain-language summaries of certain SEC filings, news items, and press releases; a searchable SEC filings browser; tracking pages for corporate insiders, institutional investors (Form 13F), and U.S. politicians’ publicly disclosed trading and campaign-finance activity; a cryptocurrency market tracker; a pre-market screener showing indicators such as pre-market volume, relative volume, unusual-volume signals, and AI-matched potential catalysts; an events and economic calendar; market-overview widgets (indices, heatmaps, top gainers and losers, upcoming earnings, IPOs, and economic events); watchlists and configurable alerts; and a developer REST API and hosted MCP server. Signal8 also offers a Corporate / Investor-Relations (“IR”) Portal for issuer personnel, and an embeddable IR widget that lets companies collect filing- and press-release-alert subscribers on their own websites.
All AI-generated summaries and other automated outputs are provided for general information only and may be inaccurate, incomplete, or out of date, see Sections 3, 12, and 13. Signal8 may add, modify, suspend, discontinue, or remove any feature, or limit its availability, at any time and in its sole discretion. A feature described in these Terms may not be enabled for your account, your plan, or your region. Nothing in this description is a warranty that any particular feature will be available.
3. Not Investment Advice, Important Disclaimer
Signal8 is not a registered investment adviser, broker-dealer, or financial planning firm under the Investment Advisers Act of 1940 or any applicable state law. Nothing on or provided through the Service constitutes investment advice, financial advice, trading advice, legal advice, tax advice, a recommendation, an endorsement, or a solicitation to buy, sell, or hold any security.
All data, analyses, AI-generated summaries, alerts, feeds, and content provided through the Service are for informational and educational purposes only and should not be relied upon as the basis for any investment, financial, legal, tax, or business decision. Past performance of any security or strategy is not indicative of future results.
Some content is paid promotion. Certain content Signal8 publishes or sends is paid advertising for which Signal8 or its affiliates receive compensation. See Section 15 (Sponsored Content and Paid Promotion) and our Disclaimer & Compensation Disclosure.
You are solely responsible for your investment and financial decisions. Before making any decision, you should consult with a qualified financial advisor, attorney, tax professional, or other licensed professional appropriate to your situation. Signal8 expressly disclaims any and all liability for any actions you take or fail to take based on information obtained through the Service.
4. Account Registration and Security
Signal8 uses passwordless authentication, there is no password. To create a standard account you provide an email address, a mobile phone number, or both, and verify it with a one-time code we send you. We do not require a name, mailing address, or company for a standard account. Certain users, such as Corporate / IR Portal users, may be asked to provide additional information (for example, first name, last name, and job title). You agree to provide accurate information and to keep it current.
You are solely responsible for maintaining control of the email address and phone number associated with your account and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you become aware of any unauthorized access to or use of your account. Signal8 will not be liable for any loss or damage arising from unauthorized use of your account.
You may not share your account or your API keys with any other person or entity. Each account is for a single authorized user only (except where an Enterprise arrangement expressly permits additional seats). We reserve the right to suspend or terminate accounts that we reasonably believe are being shared or used in an unauthorized manner.
5. Free Platform; Paid API and MCP Plans
The Signal8 web platform is currently offered free of charge. Signal8 monetizes the free platform as described in Section 15 (Sponsored Content and Paid Promotion) and in our Privacy Policy. We may begin charging for platform features in the future on notice.
Signal8 offers paid subscription plans that unlock higher-throughput access to the Signal8 developer REST API and the hosted MCP server. Plan names, prices, and rate limits are set out on our developer pricing page and are subject to change with notice. A free API/MCP tier with lower limits is also available.
All fees are stated in U.S. Dollars and are exclusive of any applicable taxes. You are responsible for all taxes associated with your subscription. Payments are processed by our third-party payment processor. By subscribing to a paid plan, you authorize Signal8 to charge your chosen payment method on a recurring basis until you cancel.
Subscription fees are non-refundable except as expressly stated in these Terms or as required by applicable law. If your payment fails, Signal8 may suspend or downgrade your paid access. Our payment processor may retry failed payments; if payment remains uncollected, your subscription may be canceled.
Signal8 reserves the right to change its pricing at any time. We will provide at least 30 days' notice of a price change to existing subscribers via email or in-app notification. Your continued use of a paid plan after the effective date of a price change constitutes acceptance of the new pricing.
6. Cancellation
You may cancel a paid subscription at any time through your account settings or by contacting support at [email protected]. Upon cancellation, your subscription remains active until the end of the current billing period, after which it will not renew. You retain access to paid features until the end of your billing period.
Subscription fees are non-refundable. We do not issue refunds or credits for partial billing periods. Exceptions may be made in Signal8's sole discretion.
If Signal8 terminates or suspends your paid account without cause (meaning not for a violation of these Terms, non-payment, or misuse), you will receive a pro-rata refund of the unused portion of any prepaid subscription fee.
7. API and MCP Access
Signal8 offers a REST API and a hosted MCP server that you access using API keys or access tokens generated through your account. Access is governed by rate limits, a maximum number of requests per minute and per day, that depend on your plan, as set out on our developer pricing page. There is no per-request “credit” charge. Requests that exceed your limits are rejected until the applicable window resets. Signal8 is not liable for any costs, losses, or disruptions arising from your reaching or exceeding your rate limits.
API keys and access tokens are confidential. You are responsible for all calls made using your credentials. Do not expose API keys in client-side code or public repositories. If a key is compromised, revoke it immediately from your account settings and notify us.
Signal8 reserves the right to rate-limit, throttle, or suspend API or MCP access for accounts that violate these Terms, abuse the API, or generate traffic that materially impacts the Service's performance.
8. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in a manner consistent with these Terms and all applicable laws and regulations. You may not use the Service:
- To engage in any form of market manipulation, insider trading, securities fraud, or any other activity that violates securities laws or regulations in any jurisdiction;
- To systematically scrape, download, or extract bulk data from the Service using automated means (crawlers, bots, scrapers) beyond what is expressly permitted by these Terms or your API subscription;
- To redistribute, resell, sublicense, or commercially exploit any data or content obtained through the Service without our prior written consent;
- To reverse engineer, decompile, disassemble, or attempt to derive the source code of any portion of the Service;
- To interfere with or disrupt the integrity, performance, or security of the Service, or any networks or systems connected to it;
- To attempt to gain unauthorized access to any account, system, or data within the Service;
- To use the Service to harass, threaten, or harm any individual or entity;
- To upload, transmit, or facilitate the distribution of malware, viruses, or other harmful code;
- To create multiple accounts to circumvent access restrictions, plan limitations, or bans;
- To access the Service through unauthorized means, including by using another person's credentials;
- To use the Service to develop or train competing products or services, or to benchmark the Service without our written permission.
Signal8 reserves the right to investigate suspected violations of these Terms and may take any action we deem appropriate, including suspending or terminating your account, reporting violations to law enforcement, and seeking legal remedies.
9. Intellectual Property Rights
The Signal8 platform, including its design, user interface, proprietary software, branding, trademarks, service marks, trade dress, and all content and materials created or developed by Signal8 (including AI-generated summaries and platform features) are owned by Signal8 Inc. or its licensors and are protected by U.S. and international intellectual property laws.
Underlying SEC filing data is publicly available government data and is not owned by Signal8. Market, reference, and other data displayed through the Service may be owned by or licensed from third-party providers and is subject to their rights. Our selection, aggregation, transformation, summarization, and presentation of that data are proprietary to Signal8.
Subject to these Terms, Signal8 grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own personal, internal research and analysis purposes. This license does not include the right to: reproduce, distribute, or create derivative works from the Service or its content; use the Service or its content for any commercial purpose not expressly permitted; or remove or alter any proprietary notices.
“Signal8,” the Signal8 logo, and related marks are trademarks of Signal8 Inc. You may not use our trademarks without our prior written consent.
10. AI-Generated Content
Signal8 uses large language models (“LLMs”) and other automated techniques to generate content such as plain-language summaries of SEC filings, news items, and press releases, and short narrative company summaries (collectively, “AI Content”). AI Content is generated automatically and may contain errors, omissions, hallucinations, or outdated information.
AI Content does not constitute legal, financial, investment, or any other form of professional advice. You should always verify AI Content against the original source (such as the underlying filing on SEC EDGAR or the original press release) before relying on it for any purpose. Signal8 makes no representation or warranty regarding the accuracy, completeness, or reliability of any AI Content.
AI Content may be processed using third-party AI model providers. Signal8 does not use your account content to train any artificial-intelligence model, whether operated by Signal8 or by third parties.
11. Financial Data Disclaimer
Data provided through the Service is sourced from publicly available SEC filings and from third-party financial-data providers. Signal8 aggregates and processes this data using automated means, including AI-based extraction and summarization.
Signal8 makes no guarantees regarding the accuracy, completeness, timeliness, or fitness for any particular purpose of any data provided through the Service. Market data may be delayed. Automated extraction, summarization, and derived indicators are estimates that are subject to parsing and interpretation errors and may not reflect the full context of the underlying source.
You are solely responsible for verifying all data against primary sources (such as the original SEC filing on EDGAR) before relying on it for any business or investment decision. Signal8 is not liable for any errors in the underlying data provided by third-party sources.
12. IR Widget and IR Alert Services
Companies may embed a Signal8 IR widget on their investor relations websites. The widget allows external visitors (“IR Subscribers”) to subscribe to receive press release and SEC filing alert emails. IR Subscribers do not need a Signal8 account.
Companies that use the IR widget represent that they have the right to collect and share IR Subscriber email addresses with Signal8 for the purpose of sending filing alerts, and that their use of the widget complies with all applicable laws, including CAN-SPAM, CASL, and GDPR as applicable.
IR Subscribers may unsubscribe from alerts at any time by clicking the unsubscribe link in any alert email. Signal8 is not responsible for the content of press releases or filings, and the alerts are informational only.
13. Third-Party Services
The Service integrates with or depends on third-party services, including a payment processor, transactional and marketing email providers, an SMS provider, third-party financial-data providers, and third-party AI model providers. Your use of these services is subject to their respective terms of service and privacy policies. Signal8 is not responsible for the availability, accuracy, or conduct of any third-party service.
The Service may contain links to external websites. Signal8 does not endorse and is not responsible for the content, privacy practices, or terms of any linked third-party website.
14. Notifications and Communications
Transactional messages. By creating an account, you consent to receive transactional messages from Signal8 at the email address and/or phone number you provide, including one-time sign-in and verification codes, security notifications, and, if you subscribe to a paid plan, billing-related messages. These are required to operate your account and cannot be opted out of while your account is active.
Marketing email. Signal8 sends marketing and promotional email, including product news, offers, and, where you have opted in, paid stock-promotion content (see Section 15), to the email address associated with your account. In the United States, we may send you marketing email unless and until you opt out; where required by law (for example, in the EEA and UK) we send marketing email only with your consent. You can opt out at any time using the unsubscribe link in any marketing email or in your account settings.
SMS messages. If you provide a mobile phone number, you may receive text messages from Signal8. One-time codes and account-security texts are transactional. Separately, if you provide the required consent, you may receive recurring marketing and promotional texts, which may include paid stock-promotion content. SMS is governed by our SMS Terms of Service. Message frequency varies, and message and data rates may apply. You can opt out of marketing texts at any time by replying STOP; reply HELP for help, or contact us at [email protected]. Carriers are not liable for delayed or undelivered messages, and neither is Signal8.
Alerts. Watchlist and similar alert notifications are optional and can be enabled or disabled in your account settings at any time. Where offered, web push notifications require browser permission and can be revoked at any time.
15. Sponsored Content and Paid Promotion
PLEASE READ THIS SECTION CAREFULLY. Signal8 is provided to individual users free of charge. Signal8 and its affiliates operate an advertising and financial-publishing business and are compensated in connection with the promotion and dissemination of information about publicly traded companies. This creates material conflicts of interest, described in full in our Disclaimer & Compensation Disclosure, which is incorporated into these Terms by reference.
Paid promotional content. Some content Signal8 publishes or sends, including certain emails, text messages, website features, and alerts, is paid advertising. When Signal8 or an affiliate is compensated to feature or disseminate information about a company or security, that compensation is disclosed as required by Section 17(b) of the Securities Act of 1933 on our Disclaimer page and, where applicable, on a per-campaign disclosure page (signal8.ai/disclosures). Promotional content is a paid commercial advertisement, not independent research or journalism, and Signal8 generally publishes only favorable information about a promoted company.
Conflict of interest and price risk. The company being promoted, the party paying for the promotion, their affiliates, and other third parties may already own, and may buy or sell, shares of a promoted company at any time, including while a promotional campaign is running and after it ends. Their selling may occur while Signal8 is publishing favorable information, and that selling can cause the security's price to decline, potentially sharply. You should assume that persons compensating Signal8, and the promoted company and its insiders, may be selling into any price or trading-volume increase that a promotion helps create. You should never make an investment decision based on promotional content, and you should read the full compensation disclosure and risk factors on our Disclaimer page before acting.
Advertising-supported model; sharing of your email address. Because the Service is free, Signal8 is supported in part by advertising and by sharing the email address you provide with its business and advertising clients, who may send you marketing communications about their business that you can opt out of at any time. We do not sell or share your mobile phone number or SMS opt-in data with any third party for marketing purposes. These practices, and your right to opt out, are described in detail in our Privacy Policy (Section 4) and, for text messaging, in our SMS Terms of Service.
16. Indemnification
You agree to indemnify, defend, and hold harmless Signal8 Inc. and its officers, directors, employees, contractors, agents, licensors, and successors (collectively, the “Signal8 Parties”) from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or inability to use the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any rights of a third party; (e) any investment or business decision you make based on information obtained through the Service; or (f) any dispute between you and a third party. Signal8 reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.
17. Disclaimer of Warranties
THE SERVICE AND ALL CONTENT, DATA, AND MATERIALS PROVIDED THROUGH THE SERVICE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SIGNAL8 EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
SIGNAL8 DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) THE SERVICE OR ANY DATA PROVIDED THROUGH IT IS ACCURATE, COMPLETE, RELIABLE, OR CURRENT; OR (D) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
18. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SIGNAL8 INC. OR ANY SIGNAL8 PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, INVESTMENT LOSSES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF SIGNAL8 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL SIGNAL8'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO SIGNAL8 IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION AND EVEN IF SIGNAL8 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
19. Termination
Signal8 may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including if Signal8 reasonably believes you have violated these Terms. Upon termination, your right to use the Service will immediately cease and your API keys will be revoked.
You may delete your account at any time from your account settings, or by contacting [email protected]. Upon deletion, your account will be deactivated. Some data may be retained as required by law or for legitimate business purposes as described in the Privacy Policy.
Sections 3, 8, 9, 10, 11, 15, 16, 17, 18, 20, 21, 22, and 23 of these Terms shall survive any termination or expiration of these Terms.
20. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Informal Resolution. Before filing any claim, you agree to contact Signal8 at [email protected] and attempt to resolve the dispute informally for at least 30 days.
Binding Arbitration.If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms or the Service (including questions about arbitrability) shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (or Commercial Arbitration Rules if applicable), as amended by these Terms. The arbitration shall be conducted in Sheridan, Wyoming, or by remote hearing. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Right to Opt Out. You may opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) days of first accepting these Terms. Your notice must include your full name, account email or phone number, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes between you and Signal8 will be resolved in the courts identified in Section 21, but the Class Action Waiver below still applies. Opting out will not affect any other provision of these Terms.
Class Action Waiver. YOU AND SIGNAL8 EACH WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTION LITIGATION OR CLASS-WIDE ARBITRATION. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Non-Severability of Class Waiver. If the Class Action Waiver above is found to be unenforceable as to any claim or remedy, then the entirety of this Section 20 (Dispute Resolution and Arbitration) shall be null and void with respect to that claim, and the claim shall proceed in the courts identified in Section 21 on an individual, non-class basis only. The remainder of these Terms shall remain in full force and effect.
Exceptions. Either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims of intellectual property infringement may be brought in court.
21. Governing Law and Venue
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. To the extent any dispute is not subject to mandatory arbitration, you and Signal8 consent to the exclusive jurisdiction and venue of the state and federal courts located in Sheridan County, Wyoming for resolution of such disputes.
22. Geographic Scope
The Service is offered and intended solely for users located in the United States. Signal8 makes no representation that the Service is appropriate or available for use in any other jurisdiction. If you access the Service from outside the United States, you do so on your own initiative and at your own risk, and you are responsible for compliance with all applicable local laws. Nothing in these Terms shall be construed as subjecting Signal8 to the laws or jurisdiction of any country other than the United States.
23. General Provisions
Entire Agreement.These Terms, together with the Privacy Policy, the SMS Terms of Service, and the Disclaimer & Compensation Disclosure, constitute the entire agreement between you and Signal8 regarding the Service and supersede all prior agreements and understandings.
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
No Waiver.Signal8's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. Signal8 may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
Force Majeure. Signal8 shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, government action, internet or utility outages, or third-party service failures.
Export Compliance. You agree to comply with all applicable U.S. export laws and regulations. You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government denied-party list.
24. Copyright and DMCA Policy
Signal8 respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512. If you believe content on the Service infringes your copyright, send a written notice to our Designated Copyright Agent containing: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing and its location on the Service; (d) your contact information; (e) a statement of good-faith belief that use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner.
