Bright Horizons Family Solutions and Remitly Global Set to Join S&P SmallCap 600
Remitly Global (RELY) will replace Apellis Pharmaceuticals (APLS) in the S&P SmallCap 600 index, effective May 14, 2026. This change is due to an acquisition of Apellis Pharmaceuticals by Biogen (BIIB), which is expected to close soon. The addition of Remitly Global and removal of Apellis Pharmaceuticals reflect a shift in the index composition, not a direct business event for the filer.
APLS: 8-K · material agreement
On April 28, 2026, Apellis Pharmaceuticals amended and restated its Executive Separation Benefits and Retention Plan in connection with its pending merger agreement with Biogen Inc. The amendments specify that unvested rights to payments for converted options and RSU awards will accelerate and vest in full if a participant is terminated without cause or resigns for good reason before the closing date. Additionally, the company removed a provision in the definition of 'Good Reason' that excluded changes in scope solely resulting from the company becoming a subsidiary of another corporation. This change applies specifically to C-Level Officers, including named executive officers. The amendments are contingent upon and will become effective on the closing date of the merger.
