ASPC: PRE 14A · proxy statement
A SPAC III Acquisition Corp. filed a preliminary proxy statement asking shareholders to amend its charter and extend its business combination deadline by 24 months, from November 12, 2026 to November 12, 2028, to complete its pending merger with Bioserica International Limited under a May 23, 2025 merger agreement. The deal still requires filings with the China Securities Regulatory Commission and the SEC, which the board says leaves too little time before the current deadline.
Sponsor A SPAC III (Holdings) Corp. holds 1,785,000 shares, roughly 76.4% of the vote, and has indicated it will vote for the extension, effectively assuring approval. However, the sponsor does not plan to contribute any funds to the trust account to support the extension, and the company explicitly expects significant redemptions at the meeting.
The company is also out of compliance with Nasdaq Listing Rule 5550(b)(1), having reported stockholders' equity below the $2,500,000 minimum for the quarter ended March 31, 2026, with a compliance deadline of November 12, 2026. Nasdaq rules further require a business combination within 36 months of the November 2024 IPO, so delisting risk persists even if the two-year extension is approved and succeeds only via a Hearings Panel appeal.
If the extension fails and no deal closes by November 12, 2026, the SPAC will redeem 100% of public shares and liquidate, wiping out the sponsor's founder shares purchased for $25,000 in aggregate and its $2,850,000 of private placement units.
