CUB: 10-Q · periodic report
Lionheart Holdings, a $230 million SPAC affiliated with Miami-based Lionheart Capital, reported a Q2 2026 net loss of $4.6 million and disclosed substantial doubt about its ability to continue as a going concern. The company must complete an initial business combination by March 20, 2027 or face mandatory liquidation and dissolution, and Nasdaq rules bar any extension of the deadline beyond June 17, 2027.
Liquidity outside the trust is nearly exhausted: cash fell to $42,578 with a working capital deficit of $233,044, and the company borrowed $200,000 via related-party promissory notes in June 2026. The Trust Account held $250.5 million at quarter-end after shareholders redeemed 4,503,836 Class A shares for roughly $49.1 million ($10.89 per share) in connection with the June 18, 2026 deadline-extension vote, leaving about $201.2 million in the trust.
On June 3, 2026 the company announced it is targeting Venezuela's upstream oil and gas sector, specifically brownfield redevelopment of mature producing fields, but had no definitive agreement with any target as of June 30, 2026 — layering sanctions, geopolitical, and commodity-price risk onto an already tight deal clock.
To win approval for the extension, Lionheart struck non-redemption agreements with institutional investors covering 15,879,072 shares, recording a $6,535,825 expense and promising 3,175,814 additional Class A shares at deal close — incremental dilution on top of the 11.5 million public warrants and 6 million private placement warrants already outstanding.
