Graphex Group Limited announced that its Board has proposed a change of domicile from the Cayman Islands to Hong Kong, subject to shareholder and regulatory approvals. The proposal utilizes Hong Kong's new company re-domiciliation regime to streamline the company's legal entity structure and reduce compliance costs associated with multiple jurisdictions. The company stated that the re-domiciliation will not alter its underlying assets, investments, management, or financial position, nor will it affect the listing status of its shares on the Stock Exchange of Hong Kong. Existing share certificates will remain valid, and no new shares will be issued as a result of this process. To effect the change, Graphex Group intends to adopt New Articles of Association compliant with Hong Kong laws and will convene an Extraordinary General Meeting (EGM) for shareholders to vote on the proposal. The company cautioned that the change of domicile is conditional and may not proceed if necessary approvals are not obtained.
