NOEM: 10-Q · periodic report
CO2 Energy Transition Corp. (NOEM), a pre-deal SPAC, disclosed substantial doubt about its ability to continue as a going concern in its Q2 2026 10-Q, reporting just $7,175 in cash, a $409,404 working capital deficit, and a $2.34 million stockholders' deficit as of June 30, 2026.
At the July 21, 2026 annual meeting, holders redeemed 5,869,285 public shares — roughly 85% of the public float — at approximately $10.57 per share, pulling $62,050,810 out of the trust and leaving only 1,030,715 public shares outstanding. The company has been extended monthly through August 22, 2026 and can run to June 22, 2027 only via $30,921.45 sponsor-funded monthly deposits; if no deal closes, it must liquidate and public warrants and rights expire worthless.
The quarter itself was profitable only on paper: net income of $327,572 (EPS $0.03) was driven entirely by $637,095 of interest earned on the $72.7 million trust account, with no operations or revenue, and net cash used in operating activities was $1.22 million for the six months.
In subsequent events, President and CEO Brady Rodgers resigned July 27, 2026, with Chairman Charles Fox taking over as President and CEO on July 29, 2026 and Andrew Martin joining the board — while a new risk factor warns the shrunken trust and float may make a business combination harder to strike and could jeopardize continued Nasdaq listing.
