Flowco Holdings reported Q2 2026 revenue of $235.9 million, up 22.1% from $193.2 million a year earlier, with consolidated net income of $30.9 million and diluted EPS of $0.28 versus $0.21 in Q2 2025. For the first six months of 2026, revenue reached $445.4 million and net income attributable to Flowco Holdings was $20.0 million, with operating cash flow of $173.9 million.
Growth was driven largely by the Valiant Acquisition, which closed March 2, 2026: the company paid approximately $316.0 million ($283.1 million in cash plus 1,454,849 Class A shares) for Riverstone Oilfield Services and Equipment, parent of Valiant Artificial Lift Solutions, one of the largest private pure-play U.S. ESP providers. Valiant contributed $43.6 million of revenue and $9.3 million of net income from close through June 30, and the revolver-funded deal lifted long-term debt to $298.4 million from $167.8 million at year-end 2025.
The company ended the quarter with $19.2 million in cash and owns 48.7% of the economic interests in Flowco LLC, while its Tax Receivable Agreement liability swelled to roughly $108.2 million from $22.0 million as Continuing Equity Owners exchanged 14.2 million Class B shares for Class A stock in the first half. Management declared a $0.09 per share dividend for the quarter and repurchased $16.5 million of Class A shares.
Notably, Flowco disclosed an immaterial error in how LLC distributions were classified in prior statements, including the audited FY2025 financials, reclassifying up to $28.5 million between additional paid-in capital and retained earnings with no effect on net income, EPS, cash flows, or total equity.
