Global Partners LP entered into the Twelfth Amendment to its Third Amended and Restated Credit Agreement on October 16, 2026, extending the credit facility maturity from March 20, 2028 to October 16, 2031.
The amendment maintains the $1.0 billion working capital commitment and $500 million revolver commitment, while reducing the WC Interim Commitment to zero. Exiting lenders Toronto-Dominion Bank (NY Branch), KeyBank, and ING Capital assigned portions of their commitments to new and existing lenders including TD Bank, PNC, U.S. Bank, and Valley National Bank.
A subsidiary, Hampton, joined as a guarantor and loan party, pledging broad collateral. The extension removes refinancing risk for more than three years and is supportive of the Partnership's liquidity position.

Global Partners LP filed a Form 15 on August 10, 2026 certifying termination of registration of its 9.50% Series B Fixed Rate Cumulative Redeemable Perpetual Preferred Units under Section 12(g) of the Securities Exchange Act of 1934.
The notice lists zero holders of record for the preferred class, consistent with the units having been fully redeemed or retired, and the partnership relies on Rules 12g-4(a)(1) and 12h-3(b)(1)(i) for the deregistration.
Importantly, the duty to file Exchange Act reports for Global Partners' common units remains in place, so the filing has no effect on the operating partnership's ongoing SEC reporting or its listed common units.
The Form 15 was executed by Global GP LLC, the general partner, through Chief Legal Officer and Secretary Kristin K. Seabrook, and is routine administrative cleanup rather than an operating event.
