MEI: 8-K · proxy statement
At Methode Electronics' annual meeting held September 16, 2026, stockholders elected seven directors, but David P. Blom failed to receive a majority of votes cast, drawing roughly 21.2 million votes against him versus about 7.05 million in favor.
Under the company's corporate governance guidelines, Blom tendered a conditional resignation, but the Nominating and Governance Committee recommended rejection and the Board agreed, citing his leadership experience, committee tenure, and full attendance at Board and Committee meetings in fiscal 2027; proxy advisory firms had recommended against him over meeting attendance. Blom will continue serving until the 2027 annual meeting.
Stockholders separately approved the 2026 Omnibus Incentive Plan (about 27.5 million votes for), ratified Ernst & Young LLP as independent auditor for the fiscal year ending May 1, 2027 (about 31.6 million for), and passed the Say-on-Pay advisory vote on executive compensation (about 24.8 million for).

MEI: 10-Q · periodic report
Methode Electronics reported Q1 fiscal 2027 net sales of $265.4 million, up 10.4% year over year, driven by 27% growth in the Industrial segment on organic data center demand. Despite the top-line gain, the net loss widened to $11.4 million, or $0.32 per share, from $10.3 million a year earlier, and operating cash flow swung to negative $7.8 million.
On August 31, 2026, Methode signed a Fourth Amendment to its credit agreement extending the revolver's maturity to October 29, 2028 while cutting aggregate commitments from $400 million to $375 million and extending a period of relaxed financial covenants through the quarter ending October 31, 2027. The amendment also caps restricted payments, including dividends, at $2.5 million per quarter, and the quarterly dividend was trimmed to $0.05 per share from $0.07 a year ago.
Cash and equivalents fell to $116.2 million from $139.6 million, though the company stated it remains in compliance with all covenants. Securities class action and derivative litigation tied to prior EV-related disclosures continues, with a motion to dismiss the second amended complaint pending.

Methode Electronics, Inc. Reports Fiscal 2027 First Quarter Financial Results
Methode Electronics posted fiscal Q1 2027 net sales of $265.4 million, up 10.4% year-over-year, driven by Industrial segment volumes led by data centers, with Industrial sales up 27% to $156.8 million.
Profitability moved the other way: net loss widened to $11.4 million ($0.32 per diluted share) from $10.3 million, and Adjusted EBITDA fell to $13.7 million (5.2% of sales) from $15.7 million (6.5%), as one-time costs including the dataMate divestiture impact and talent investments offset the sales gains.
Cash flow deteriorated, with free cash flow swinging to a $10.9 million outflow from an $18.0 million inflow on working-capital timing; the company still repaid $10.1 million of net debt and, post-quarter, extended revolver maturities to October 2028 while trimming the facility from $400 million to $375 million.
Management affirmed fiscal 2027 guidance of $1,025-1,075 million in net sales and $72-82 million in Adjusted EBITDA, and booked new non-data center awards representing $75 million of peak annual revenue, or roughly $400 million of lifetime revenue.

MEI: DEF 14A · proxy statement
Methode Electronics has filed its definitive proxy statement for the 2026 Annual Meeting of Stockholders, scheduled to be held virtually on September 16, 2026. Shareholders are asked to vote on four proposals: the election of seven directors, the approval of the 2026 Omnibus Incentive Plan, the ratification of Ernst & Young LLP as the independent auditor, and an advisory say-on-pay vote.
The Board recommends approval of the 2026 Omnibus Incentive Plan, which replaces the 2022 plan and authorizes 2,000,000 new shares in addition to the 868,580 shares remaining from the previous plan. The company estimates that the new share reserve will increase the equity overhang from approximately 9% to 14%.
Executive compensation disclosures reveal that President and CEO Jonathan DeGaynor received total compensation of $8.09 million for fiscal 2026, an increase from $5.74 million in the prior year, largely driven by stock awards and non-equity incentive payments. The company also noted six late Form 4 filings by directors and officers attributed to administrative errors.

MEI: 10-K · periodic report
Methode Electronics reported fiscal 2026 net sales of $1,019.2 million, a 2.8% decrease from the prior year, while narrowing its net loss to $35.7 million compared to a loss of $62.6 million in fiscal 2025. The decline in sales was driven by program roll-offs in the Automotive and Interface segments, though the Industrial segment grew 7.6% to $524.3 million on higher sales volumes and improved operational efficiencies.
The company faces ongoing liquidity challenges with $326.4 million outstanding under its revolving credit facility and restrictive covenants, including an anti-cash hoarding provision that forces debt prepayments if U.S. cash exceeds $65 million. Despite these constraints, Methode held $139.6 million in cash and equivalents as of May 2, 2026, and made a voluntary $20.0 million prepayment on the facility subsequent to fiscal year-end.
Strategic actions included the divestiture of the dataMate business in the fourth quarter and the continued wind-down of the consumer appliance business. The company's share buyback authorization of $200.0 million expired on June 17, 2026, without any shares being purchased under that specific program.
