AEAE: 10-Q · periodic report
AltEnergy Acquisition Corp filed its 10-Q for the quarter ended June 30, 2026, reporting a net loss of $1.68 million for the quarter and $2.96 million for the first half (vs. $1.78 million a year earlier), and disclosed substantial doubt about its ability to continue as a going concern.
The trust account held $6,245,404 (about $12.16 per share) at quarter end, but only $7,496 of cash sat outside the trust, and the stockholders' deficit widened to $21.8 million. The company is funding itself through sponsor loans of $4.175 million plus accrued interest while carrying a $2.34 million excise tax liability and $2.34 million of warrant liabilities.
The SPAC must complete a business combination by May 3, 2027 or redeem public shares and liquidate, and it has already extended its deadline more than five times since its $230 million November 2021 IPO. It signed a non-binding letter of intent on March 6, 2026 with an unnamed private target, but its own warrant valuation assumptions assign only a 4% probability to a deal closing.
The company was delisted from Nasdaq in November 2024 for failing to combine within 36 months of its IPO and now trades OTC under AEAE, AEAEU and AEAEW. Its former CFO resigned in March 2026, with $421,200 of accrued termination payments due and a further $150,000 success fee payable only if a deal closes.
