ESGH: 10-Q · periodic report
ESG Inc.'s 10-Q for the quarter ended June 30, 2026 discloses substantial doubt about the company's ability to continue as a going concern. The company held cash of $161,100 against current liabilities of $564,916, leaving a working-capital deficit of $374,171, and generated only $918 of continuing-operations revenue in the first half of 2026 against a six-month consolidated net loss of $1,053,479.
On May 26, 2026, ESG completed the split-off of ESG China Limited under a related-party agreement with DCG China Limited, which its CEO and a director controlled, cancelling 10,432,800 shares. The former China operations are now discontinued operations, and total stockholders' equity swung to a deficit of $374,139 from positive equity of $11.9 million at year-end 2025.
The company remains in default under its convertible promissory note with Labrys Fund II, L.P., which matured unpaid on August 5, 2026 with approximately $301,981 of principal and accrued interest outstanding. Labrys agreed only to a 90-day conversion forbearance expiring November 11, 2026 in exchange for a $1,000 payment, and under the note's terms can claim 150% of principal plus accrued interest with default interest up to 22% per annum.
Management also concluded disclosure controls were not effective due to an unremediated material weakness, and revised prior-period financials to record $540,035.48 of previously unrecorded share-based compensation, settled on June 1, 2026 through the issuance of 115,908 restricted shares to seven current and former directors and officers.
