Hugoton Royalty Trust will not declare a cash distribution for September 2026 because excess cost positions burden all three of its net profits interest conveyances, and the Trustee does not foresee any distributions in the near term. The trust has paid no unitholder distributions since July 2023, and its cash reserve fell by another $4,000 to cover trust expenses.
The press release contains explicit going-concern language, stating substantial doubt about the Trust's ability to continue given insufficient cash to meet obligations over the coming year. The Trustee has deferred its own fee since April 2024, believes adequate financing is unlikely, and is weighing alternatives including terminating the trust or selling its interests — either requiring approval by at least 80 percent of outstanding units, and even a sale may leave nothing for unitholders after obligations are met.
On the reporting front, the Trust filed a Form 12b-25 on August 14, 2026 saying it cannot file its Q2 2026 10-Q because cash constraints prevent it from engaging a new independent auditor. Its units were removed from the OTCQB on July 17, 2026 and now trade on the Expert Market on an unsolicited quotes-only basis, leaving investors with limited or no public information.
Underlying cumulative excess costs total $3,408,000 on the Kansas, $15,154,000 on the Oklahoma, and $13,312,000 on the Wyoming net profits interests, and they continue to grow. Operator Mach Natural Resources charged $172,000 of development costs, $1,769,000 of production expense, and $911,000 of overhead against the current month's royalty calculation.
