Waldencast plc Files Form 15 to Deregister its Securities and Suspend its SEC Reporting Obligations under the Exchange Act
Waldencast plc filed a Form 15 with the SEC on October 15, 2026 to terminate registration of its Class A Ordinary Shares and redeemable warrants and suspend its Exchange Act reporting obligations. The company's duty to file periodic reports (20-F annual reports and 6-K current reports) is suspended immediately upon filing, and deregistration is expected to become effective 90 days after filing. The shares and warrants have already moved to the OTC Pink Limited market under tickers MLKMF and MLKWF as of October 5. For shareholders, this means a substantial reduction in public disclosure and transparency going forward, following the prior Nasdaq delisting. Waldencast is the parent of prestige beauty brand Milk Makeup, sold through Sephora, Ulta Beauty and Amazon.
