Zicix Corporation

ZICX: 10-Q · periodic report

Zicix Corp reported zero revenue for the quarter ended June 30, 2026, versus $300,869 a year earlier, and a net loss of $653,617 that widened from $189,582. Revenue halted entirely after its Dubai operations were suspended in March 2026 due to U.S.-Iraq conflict supply-chain disruptions. The company disclosed going-concern doubt: its bank accounts have been suspended leaving no cash, approximately $795,000 of convertible debt is in default, and it carries a working capital deficit of $3,364,786 with a $6,355,869 accumulated deficit. Management is negotiating to restructure roughly $947,000 of debt, with no assurance of success. Compounding shareholder dilution, Zicix agreed in September 2026 to issue about 14.35 million shares to settle $990,000 of related-party service fees at $0.069 per share — a massive increase against 12.7 million shares outstanding. Going-concern warning, suspended bank accounts, defaulted debt, and ineffective disclosure controls make this a high-risk micro-cap situation.

ZICX: 10-K · periodic report

Zicix Corp filed its fiscal 2026 10-K reporting a net loss of $1,388,179 (improved from $3,294,418 in FY2025) with current assets of $507,486 against current liabilities of $3,233,629. The company disclosed that its bank accounts were suspended with zero cash as of March 31, 2026, roughly $326,700 of convertible debt is in default, and it is negotiating restructuring of approximately $947,000 in total convertible debt. The Hong Kong-based digital advertising subsidiary ASN has suspended its planned Dubai pilot launch indefinitely due to the Middle East war, and the company completed an extreme 1:10,000 reverse stock split in October 2025. The filing carries explicit going-concern language, with operations dependent on continued financial support from stockholders. The company remains a development-stage micro-cap with heavy concentration risk: two customers accounted for all FY2026 revenue and one vendor 85% of cost of revenue. It has no exchange listing and trades on the OTC Bulletin Board.
