NEXT10 Outlines Strategy to Build BFCH Into a High-Growth Health-and-Wellness Platform
NEXT10 detailed its previously announced strategy to build BitFrontier Capital Holdings (BFCH) into its dedicated public platform for health, wellness and longevity, with NEXT10 initially acquiring 49% of BFCH and one board seat. Ownership could rise to approximately 75-80% as NEXT10 contributes assets, starting with its Tampa wellness center, with a transaction reference value of $0.0004 per BFCH share. Management targets $65-95 million in aggregate BFCH annual revenue over three to five years, plus up to roughly 62 wellness facilities long term — all contingent on successful acquisitions, capitalization and execution. No definitive agreement is in place; the release is a strategic outline, not a binding transaction announcement.
NEXT10, Inc. Signs Binding LOI with BitFrontier Capital Holdings for Strategic Transaction
NEXT10, Inc. (OTC: NXTN) has signed a binding Letter of Intent with BitFrontier Capital Holdings (BFCH), doing business as UNLOCKD, for a staged strategic transaction. Under the LOI, NEXT10 would contribute operating businesses and assets to BFCH, take board representation and a noncontrolling stake at an Initial Closing, and ultimately acquire approximately 75% ownership of BFCH, which would remain separately traded. The parties are using a negotiated $0.0004 per-share reference value to structure the deal, which the release stresses is not an appraisal or a prediction of BFCH's trading price. Completion remains subject to due diligence, definitive documentation, BFCH's pending independent audit and other closing conditions, with no assurance the change of control will occur.
