Dilution Statistics: Shelf and Offering Filings

How many shelf registrations, shelf takedown prospectus supplements and other registration filings issuers make with the SEC each year. What each form is

  • S-3 and F-3. A shelf registration statement: it registers securities an issuer may sell later, in one or more offerings, often over three years. F-3 is the version for foreign private issuers. Registering securities does not mean any are sold.
  • S-3ASR and F-3ASR. An automatic shelf registration, available only to well-known seasoned issuers, generally companies with at least $700 million of common equity held by non-affiliates. It is effective on filing.
  • 424B5. A prospectus supplement filed under Rule 424(b)(5), used for an offering from a shelf registration. One supplement can cover common stock, preferred stock, warrants, units or debt, and an at-the-market program is usually set up with one.
  • 424B4. A final prospectus filed under Rule 424(b)(4), used for offerings made outside a shelf registration, including initial public offerings.
  • S-1 and F-1. A full registration statement, used for initial public offerings, for resale registrations and by issuers that cannot use Form S-3.

Methodology

Source. The SEC's EDGAR quarterly form index, the SEC's own list of every filing it disseminated, for all filers. These figures are not limited to companies Signal8 tracks. Closed quarters come from a saved copy of SEC's final index for each quarter; the current quarter is read from SEC each day.

One filing. One accession number. A filing made jointly by several registrants, such as a parent company and its subsidiary guarantors, is listed in the index once per registrant and is counted once here. Amendments (for example S-3/A) are separate forms and are not counted.

Year. The calendar quarter in which the SEC disseminated the filing. The current year and quarter are to date.

Filings, not offerings. These are counts of filings. They do not measure how many offerings closed, how much money was raised or how many shares were issued: a shelf registration can go unused, one offering can produce more than one filing, and a 424B5 can be for debt rather than stock.

Not included. At-the-market programs, registered direct offerings and offerings that include warrants are not counted separately, because the form type does not distinguish them. Reverse stock splits are covered on the reverse split statistics page. No figure on this page describes any individual company.
